Terms of Service

1. Eligibility and Account Registration

• You must be legally capable of entering into a binding agreement to use the service.
• You are responsible for providing accurate account information and keeping your account credentials secure.
• You are responsible for all activity that occurs under your account unless caused by our own misconduct.
• We may suspend or terminate accounts that violate these Terms or create risk for the service, other users, or our business.

2. Use of the Service

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable right to access and use the service for your internal personal or business use.

• You may not reverse engineer, copy, resell, sublicense, exploit, or misuse the service except as permitted by law or with our written permission.
• You may not use the service to violate law, infringe intellectual property, transmit malware, interfere with service integrity, or attempt unauthorized access.
• You may not use the service to harass, abuse, defraud, or harm others.

3. User Content

You may submit content, data, files, prompts, text, images, configurations, or other materials through the service. You retain ownership of your content, except for rights you grant to us under these Terms.

You grant us a limited right to host, store, reproduce, process, transmit, and display your content solely as necessary to operate, maintain, secure, and improve the service and to comply with law.

4. Acceptable Use

• Do not upload or transmit unlawful, infringing, harmful, defamatory, deceptive, or abusive content.
• Do not interfere with the service, attempt to bypass rate limits or security controls, or use automated means to abuse the platform.
• Do not use the service to develop competing services through unauthorized extraction or misuse of outputs, metadata, or system behavior.

5. Third-Party Services

The service may integrate with third-party products and providers, including authentication providers, cloud infrastructure providers, payment processors, communication tools, and analytics services.

Your use of third-party services is governed by those third parties’ own terms and privacy policies. We are not responsible for third-party services that we do not control.

6. Fees, Billing, and Subscriptions

Some features may require a paid subscription. If you purchase a subscription, you agree to pay all applicable fees, taxes, and charges associated with your plan.

Unless otherwise stated, subscriptions may renew automatically until canceled. You authorize our payment processor to charge your selected payment method for recurring fees when applicable.

• Fees are generally non-refundable except where required by law or expressly stated otherwise.
• We may change pricing, plans, or features with reasonable notice.
• We may suspend paid features for failed payment, chargeback risk, or suspected fraud.

7. Intellectual Property

We and our licensors own the service, including the software, design, trademarks, logos, documentation, and all related intellectual property rights, except for content owned by users or third parties.

Nothing in these Terms transfers ownership of our intellectual property to you.

8. Service Availability and Changes

We may modify, update, suspend, or discontinue all or part of the service at any time. We do not guarantee that the service will be uninterrupted, error-free, or available in every region or environment.

9. Disclaimers

The service is provided on an "as is" and "as available" basis to the fullest extent permitted by law. We disclaim all warranties, whether express, implied, statutory, or otherwise, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

We do not warrant that outputs, recommendations, or other results generated through the service will be accurate, complete, reliable, or suitable for your specific needs.

10. Limitation of Liability

To the maximum extent permitted by law, SunX AI and its affiliates, officers, employees, contractors, and licensors will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenues, goodwill, data, or business opportunities arising out of or related to the service.

To the extent permitted by law, our aggregate liability for claims arising out of or relating to the service will not exceed the greater of the amount you paid us during the 12 months before the claim arose or one hundred U.S. dollars (US$100).

11. Indemnification

You agree to defend, indemnify, and hold harmless SunX AI and its affiliates, officers, employees, contractors, and licensors from and against claims, liabilities, damages, losses, and expenses arising from your use of the service, your content, or your violation of these Terms or applicable law.

12. Termination

You may stop using the service at any time. We may suspend or terminate your access if we reasonably believe you violated these Terms, created legal or security risk, failed to pay applicable fees, or misused the service.

Sections that by their nature should survive termination will survive, including provisions relating to intellectual property, disclaimers, limitations of liability, indemnification, and dispute-related terms.

13. Governing Law

These Terms will be governed by the laws of the State of Delaware, without regard to conflict of laws principles, unless applicable law requires otherwise. Venue for disputes may lie in courts located in Delaware, unless otherwise required by law.

14. Changes to These Terms

We may revise these Terms from time to time. If we make material changes, we may provide notice through the service, by email, or by other reasonable means. Continued use of the service after updated Terms become effective means you agree to the updated Terms.
